These Terms & Conditions (the "Terms") govern your relationship with HLS s.r.o., having its registered seat at Gen. Svobodu 376/50, 093 01 Vranov nad Topľou, Slovak Republic, BIN: 47 675 608 ("us", "we", "our" or “HLS”) in relation to our business software - a PDF document generator - with features as described on this website https://eledo.online/ (the “Website”) including such modifications and replacements thereof as HLS in its sole discretion may from time to time provide (the "Software"), provided "as a service" (SaaS) through the Website (the “Service”). Please read these Terms carefully before using the Service.

By accessing or using the Service, you agree to be bound by these Terms (including any our policies referred to herein). If you disagree with any part of the Terms then you may not access the Service. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.

By accessing and/or using our Services you warrant and affirm that you: a) are a legal entity or an individual of legal age to form a binding contract, however, at least 18 years old (if not you warrant and affirm that you are using our Service under the supervision of a parent or guardian) b) have not been previously suspended or banned from using our Service and c) have the capacity to enter into this agreement and agree to be bound by it.

Service

We will use best endeavours to provide the Service to any person or entity subscribed to or using the Service ("you", "your" or “Customer”) throughout the term of the Agreement in accordance with the level of Service (e.g., Breeze, Storm, Tornado) purchased by the Customer – a different price is designated for different number of PDF documents per month (please see below).

We will provide excellent customer service. Even though our goal is to provide email or help desk support within a couple of hours at the latest, we make no guarantee on the time period before support is provided.

An internet connection is required to use the Service. Without an internet connection, the Service may stop running. You are responsible for third-party fees you incur in connection with using the Service, including, without limitation, fees charged by your internet access provider, any wireless carrier charges for cellular or data services and any other third party applications or services with which you may use the Service; you are responsible for selecting and managing these other services, and paying the fees for such services.

Disclaimer

The Service (including Software) is provided "as is". The Service is provided without warranties of any kind, whether expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. The Customer's selection and use of the Service is at the Customer's own risk, and so is the Customer's and its end users' (any natural person that the Customer permits access to the Service) exposure to, download and upload of, as well as transmission and possession of information, programs and other objects through or due to the Service.

In no event shall HLS be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Service, even if HLS has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

We do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; or c) the results of using the Service will meet your requirements.

Licence

Subject to the terms set forth in the Terms, HLS grants to the Customer a non-exclusive licence to use the Software.

The Software may only be used during the time that the Agreement is in force between HLS and the Customer and only in such a manner as necessary for using the Service for its intended purpose. The Customer acknowledges that they have no right to have access to the Software in source code form.

The Customer has no right to sub-license or assign the license under the Agreement and shall ensure that the Software does not become the subject of any charge or encumbrance without the prior explicit consent of HLS.

The Customer acknowledges that all Service and Software-related intellectual property (i.e., all existing and future trademarks, service marks, domain names and business names, rights pertaining to inventions, designs, databases and proprietary information (including, without limitation, trade secrets and know-how), copyrights, moral rights and all other assets and benefits commonly regarded as intellectual property, whether registered or not), except for templates of PDF documents which are created by the Customer while using the Software, is the sole property of HLS. The Customer shall not acquire any right, title, or interest in the aforesaid intellectual property or otherwise in connection with the Service and Software, except for the limited rights of use expressly set forth in the Terms. Any rights not expressly granted herein shall be deemed withheld.

Account

In order to use the Service, the Customer will be required to register and select a password and account name (email address). The Customer will be required to verify their email address by clicking at the activation link that they receive into their email address box. The Customer is solely responsible for protecting the security of the password. The Customer shall immediately notify us of any unauthorized use of their password or any other breach of the Website's or their account's security. The Customer is solely responsible for all access to and use of the Website by anyone using the password an originally selected by them whether or not such access to and use of the Website is actually authorized by them, including without limitation, all communications and transmissions and all obligations (including without limitation financial obligations) incurred through such access or use.

Subscriptions

You can use our Service free of charge or you can use our monthly or yearly subscription for a monthly or yearly fee.

Free use

To start a free use, the Customer has to complete the registration process. Free use is limited by creation of 100 PDF documents per month. After reaching this limit, the use of the Service in a respective 30 day period will be blocked unless the Customer subscribes for the Service.

Monthly Subscription

We offer three monthly subscription levels for EUR 6.90, EUR 19.90 or EUR 69.90, for creation of a maximum of 200, 600 or 1,800 PDF documents, retrospectively (the “Monthly Subscription”). HLS also offers a monthly subscription level for enterprises; in such cases the number of PDF documents and monthly subscription price will be negotiated individually, however, other terms and conditions as set out in these Terms for the Monthly Subscription will apply equally.

Your Monthly Subscription will start after receiving your payment for the Monthly Subscription and will continue for a period of one month. When you purchase a Monthly Subscription, you may select auto-renew in your account. In such a case, at the end of the Monthly Subscription period, you will automatically be signed up and billed for an additional subscription of one month within 24-hours prior to the end of the current period. If you do not wish to renew your Monthly Subscription, you have to cancel it at least 24-hours before the end of your current Monthly Subscription period. In a case that auto-renew is not selected by the Customer, the use of the Service will, at the end of the Monthly Subscription period, be blocked unless the Customer repeatedly subscribes for the Service. In such a case, the free use of the Service under the conditions stated above will be available.

If the maximum limit of PDF documents for a relevant Monthly Subscription is exceeded, the use of the Service in a respective month will not be blocked, however, the Customer shall be automatically charged, at the end of the respective month, by additional fees as described on the Website at the time when the fee is to be charged.

Yearly Subscription

We offer yearly subscription for EUR 69.00, EUR 199.00 and EUR 690.00, for creation of a maximum of 200, 600 or 1,800 PDF documents per month, retrospectively (the “Yearly Subscription”). HLS also offers a yearly subscription level for enterprises; in such cases the number of PDF documents and yearly subscription price will be negotiated individually, however, other terms and conditions as set out in these Terms for the Yearly Subscription will apply equally.

Your Yearly Subscription will start after receiving your payment for the Yearly Subscription and will continue for a period of one year. Yearly Subscriptions are paid in full in advance. When you purchase a Yearly Subscription, you may select auto-renew in your account. In such a case, at the end of the Yearly Subscription period, we will sign you up and bill you for an additional subscription period of one year within 24-hours prior to the end of the current period. If you do not wish to renew your Yearly Subscription, you have to cancel it at least 24-hours before the end of your current subscription period. In a case that auto-renew is not selected by the Customer, the use of the Service will, at the end of the Yearly Subscription period, be blocked unless the Customer repeatedly subscribes for the Service. In such a case, the free use of the Service under the conditions stated above will be available.

If the maximum monthly limit of PDF documents for a relevant Yearly Subscription is exceeded, the use of the Service in a respective month will not be blocked, however, the Customer shall be automatically charged, at the end of the respective month, by additional fees as described on the Website at the time when the fee is to be charged.

Auto-renewal

If you purchase a subscription that renews automatically, such as monthly or yearly, you agree that we may process your payment on each monthly or annual period (based on the billing cycle).

Upgrade or Downgrade of the Subscription

If the Customer subscribes, during the already purchased and paid subscription period, for a higher level of subscription (e.g., from a Monthly Subscription level for EUR 6.90 to a Subscription Level for EUR 19.90)), the Customer shall be immediately charged for the full fee for the respective upgraded level of subscription and from that moment, the new month will run. If the maximum limit of PDF documents from the previous subscription plan has not been reached, the number of unused PDF documents will be placed in your account as credit and will be used only after you hit the limit of the upgraded subscription plan.

If the Customer subscribes, during the already purchased and paid subscription period, for a lower level of subscription (e.g., from a Monthly Subscription level for EUR 19.90 to a Subscription Level for EUR 6.90), the change shall become effective only after the current subscription expiries.

Payment Conditions

Only valid cards or other payment methods acceptable to us or a third-party payment service provider(s) used by HLS for payment processing may be used. Payment methods may vary by country and may change from time to time. By submitting your order, you represent and warrant that you are authorized to use the designated card or method and authorize us to charge your order (including taxes, credit card fees, any other amounts described while using our Service) to that card or other method. If the card (or other method) cannot be verified, is invalid, or is not otherwise acceptable, your order may be suspended or cancelled automatically.

The Customer acknowledges that late payment may result in the suspension of the Service or cancellation of the agreement between us.

All fees and rates are exclusive of value added tax, sales tax and other public burdens. The Customer shall be solely responsible for all taxes and other burdens that may be levied on the Customer's purchase or use of the Service.

Fee Changes

We may change the price of any subscription from time to time and add new fees and charges for certain features or to reflect a change in business or legal rules, but we will provide you with notification of changes in recurring subscription fee 30 days before it takes effect for you. Any increase in charges for the same subscription would not apply until the expiration of your then current billing cycle, unless otherwise specifically provided in our notice, and would become effective no sooner than the next time you would be charged for that subscription. If you do not agree to the price change, you may decide not to renew the subscription before the price change goes into effect, which cancellation would be effective at the renewal date when the price change takes effect.

Cancelation of Subscription

All consumers (natural persons) have a right to cancel their subscription within 14 days after we receive the payment, for any reason and without justification. If the Service has not been used in the current subscription period at all or the consumer created less than 100 PDF documents, we will refund this subscription fee in full. Otherwise, we will issue a partial refund based on the use of the Service during that time by you. We will reimburse the payment not later than 14 days from the day on which we are informed about the decision to withdraw from the contract. To withdraw within the 14-day period, this cancellation form can be used. When subscription is cancelled or the agreement between us is terminated prior to the end of the then-current billing cycle and after 14 days after we receive the payment, the consumer does not receive a refund on any remaining subscription period. Instead, the customer has access to the purchased subscription until the end of the prepaid subscription period.

When any other customer (other than consumer) cancels the subscription or the agreement between them and us is terminated prior to the end of the then-current billing cycle, the customer does not receive a refund on any remaining subscription period. Instead, the customer has access to the purchased subscription until the end of the prepaid subscription period.

Errors

We attempt to be as accurate as possible and eliminate errors on the Website, however, we do not warrant that any product, service, description, pricing or other information is accurate, complete, reliable, current or error-free. In the event of an error on the Website in an order confirmation, delivering a Service or otherwise, we reserve the right to correct such errors and revise your order accordingly if necessary (including charging the correct price) or to cancel the order and refund any amount charged. Your sole remedy in the event of such error is to cancel your order and obtain a refund.

Termination

We may terminate or suspend the Customer's account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if the Customer breaches the Terms. Upon termination, the Customer's right to use the Service will immediately cease and we reserve the right to block or prevent your future access to and use of the Website and Service. If the Customer wishes to terminate the account, they may simply close the account or discontinue using the Service. If we block your access to the Service without any reason you have a right to the refund of the proportional part of the subscription for a remaining subscription period.

Limitation of Liability

In no event shall HLS, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Slovakia, without regard to its conflict of law provisions. Courts of Slovakia shall have the exclusive jurisdiction over disputes arising out of or in connection with the Terms.

Changes

These Terms were last modified on 2. April 2020. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is substantial, we will try to provide at least a 30 day notice prior to any new terms taking effect. What constitutes a substantial change will be determined at our sole discretion. You can always find the most recent version on the Website.

By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

Severability

If at any time any provision of the Terms is or becomes illegal, invalid or unenforceable in any respect under the law of any jurisdiction that shall not affect or impair the legality, validity or enforceability in that jurisdiction of any other provision of the Terms. If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
